1. Introduction

Welcome to Kodeen ("Company", "we", "our", "us"). These Terms of Service ("Terms", "Terms of Service") govern your use of our website and consulting services. Please read these Terms carefully before engaging our services.

2. Services

Kodeen provides React Native consulting services, including but not limited to:

• React Native application development
• Technical consulting and advisory services
• Code review and optimization
• Architecture design and implementation
• Performance optimization
• Training and knowledge transfer

3. Project Engagement

Each project engagement will be governed by a separate Statement of Work (SOW) or Service Agreement that details:

• Project scope and deliverables
• Timeline and milestones
• Payment terms and schedule
• Acceptance criteria
• Change request procedures

4. Intellectual Property

Upon full payment of our services:

• Client receives ownership of the final deliverables
• Client receives rights to use any custom code developed specifically for their project
• Kodeen retains ownership of pre-existing code, tools, and methodologies
• Kodeen may reuse general knowledge and techniques learned during the engagement

5. Confidentiality

We maintain strict confidentiality of all client information and project details. This includes:

• Business information and strategies
• Technical specifications and architecture
• Source code and documentation
• User data and analytics

6. Payment Terms

Unless otherwise specified in the project SOW:

• Payment schedules will be defined in the project SOW
• Invoices are due within 30 days of issuance
• Late payments may incur additional fees
• We reserve the right to suspend services for overdue payments

7. Warranty and Liability

While we strive for excellence in all our work:

• Services are provided "as is" without warranty of any kind
• We are not liable for any indirect or consequential damages
• Our total liability is limited to the amount paid for services
• Bug fixes within the warranty period (if specified) will be addressed at no additional cost

8. Project Timeline and Delivery

We commit to meeting agreed-upon deadlines while maintaining quality:

• Timelines will be specified in the project SOW
• Delays caused by client feedback or decisions will extend timelines accordingly
• Major changes to project scope may require timeline adjustments
• Regular progress updates will be provided as specified in the SOW

9. Termination

Either party may terminate the engagement:

• With 30 days written notice
• Immediately for material breach of these terms
• Upon mutual agreement

Upon termination, client shall pay for all services rendered up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes shall be resolved in the courts of Palm Beach County, Florida. By using our services, you consent to the jurisdiction and venue of these courts.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
